Terms of Service

These terms govern your use of SpaSuite 360. Read them carefully. If anything is unclear, our team is happy to help.

1. Acceptance of terms

By accessing or using SpaSuite 360 ("the Service"), you ("Customer", "you") agree to be bound by these Terms of Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms.

2. The Service

SpaSuite 360 is a cloud-based platform that provides appointment booking, point of sale, client records, staff management, inventory, marketing, reporting and related tools for salons, spas and med spas. We may add, change or remove features over time, and will give reasonable notice for any materially adverse changes to paid customers.

3. Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorised access or suspected breach.

You are responsible for assigning roles and permissions inside your account, and for ensuring your team uses the Service in line with these terms.

4. Subscriptions and billing

Paid plans renew automatically (monthly or annually) until cancelled. Fees are charged in advance and are non- refundable except where required by law or expressly stated.

Plan upgrades take effect immediately and are pro-rated. Plan downgrades take effect at the start of the next billing cycle.

Card payments are processed by Paystack. Processor fees apply at standard rates and are not added to by SpaSuite 360.

5. Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation or third-party right.
  • Send spam or unlawful marketing communications through the Service.
  • Attempt to access, probe or test the security of the Service except as part of a coordinated, good-faith disclosure.
  • Reverse engineer, copy, resell or sublicense the Service or any part of it.
  • Interfere with the integrity, performance or availability of the Service.

6. Customer data

You retain all rights to data you upload, create or import into your SpaSuite 360 account ("Customer Data"). You grant SpaSuite 360 a limited, worldwide licence to host, process and display Customer Data solely to provide the Service.

You are responsible for ensuring you have the legal right to upload Customer Data, including your end clients' personal data, and for honouring privacy notices, consents and applicable laws.

You can export Customer Data at any time using the in- product export tools. On account closure, Customer Data is retained as described in our privacy policy.

7. Email and SMS communications

Where the Service is used to send email or SMS communications to your end clients, you are responsible for obtaining the appropriate consent, providing a valid sender identity, and including unsubscribe options where required. SpaSuite 360 may throttle, block or terminate sending where it detects abuse.

8. Intellectual property

SpaSuite 360 and all related software, designs, copy and trademarks are owned by Pavilion Labs and protected by applicable intellectual property laws. Nothing in these terms grants you any right to use our marks except as expressly permitted.

9. Third-party services

The Service integrates with third-party services such as payment processors, email and SMS providers, and analytics. Your use of these services is also governed by their own terms. We are not responsible for the acts or omissions of third-party providers.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SpaSuite 360 disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, SpaSuite 360's aggregate liability arising out of or related to these terms or the Service will not exceed the fees paid by you to SpaSuite 360 in the 12 months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential or punitive damages.

12. Indemnity

You agree to indemnify and hold SpaSuite 360 harmless from claims arising out of your Customer Data, your use of the Service in violation of these terms or applicable law, or your communications with end clients.

13. Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle.

SpaSuite 360 may suspend or terminate your access for material breach of these terms, non-payment, or use that poses a security or legal risk. Where reasonable, we will give notice and an opportunity to cure.

14. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or in-product notice and will take effect on the date stated. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

15. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Disputes will be resolved in the competent courts located in Lagos, Nigeria, unless otherwise agreed in writing.
